By accessing or using the ZUUZ platform ("Service"), you agree to these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. Use of the Service is subject to the master subscription agreement signed by your organization, these Terms, and any supplemental order forms or addenda referenced therein. To create an account, you must provide accurate registration information and maintain the confidentiality of your credentials.
ZUUZ is an agentic AI decision layer for revenue operations. The Service connects to your CRM, email, calendar, Slack, Microsoft Teams, and document repositories to read revenue signals, surface deal and renewal risk, draft replies and proposals, and write updates back to your system of record. ZUUZ is CRM-agnostic and supports Zoho, Salesforce, HubSpot, and other systems via configured integrations.
Subscriptions to the Service are sold on an annual basis under the plan tier specified in your order form (Basic, Pro, or Enterprise). Fees are billed annually in advance unless otherwise agreed. Subscriptions auto-renew for successive 12-month terms unless either party provides written notice of non-renewal at least 30 days prior to the end of the current term. Late payments may result in suspension of the Service. All fees are exclusive of applicable taxes.
You own your data. You retain all right, title, and interest in and to all data, content, and information you provide to or generate through the Service ("Customer Data"). You grant ZUUZ a limited, non-exclusive license to access, process, and use Customer Data solely for the purpose of providing, supporting, and improving the Service for you. We do not sell Customer Data and do not use Customer Data to train models for other customers. AI-model training on your data requires explicit written opt-in.
ZUUZ generates AI-derived outputs — drafts, signals, summaries, scores, and recommendations. All customer-facing AI outputs (emails, quotes, RFP responses, scheduled meetings) require human review and approval before they are sent or executed. ZUUZ is a tool that augments human decision-making; it does not replace it. ZUUZ is not liable for actions taken by users on the basis of AI suggestions, and users are responsible for reviewing AI outputs before sending or acting on them. AI outputs may contain errors, omissions, or inaccuracies — verify before relying.
You agree not to:
Each party will protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable standard of care. ZUUZ implements administrative, technical, and physical safeguards designed to protect Customer Data — see our Security & Governance page for current controls. SOC 2 Type II certification is in active progress.
Either party may terminate for material breach if the breach is not cured within 30 days of written notice. Upon termination, your access to the Service ends and your Customer Data will be deleted within 30 days, except as required by law or for ongoing audit-log retention (12 months). Sections that by their nature should survive termination (data ownership, payment obligations, confidentiality, indemnification, limitations of liability) survive.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. ZUUZ does not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid by you to ZUUZ in the 12 months preceding the claim. These limitations apply regardless of the form of action.
You agree to defend, indemnify, and hold harmless ZUUZ from and against any third-party claims, damages, and expenses arising out of (a) your breach of these Terms, (b) your Customer Data, or (c) your use of the Service in violation of applicable law. ZUUZ will defend you against third-party claims that the Service infringes intellectual property rights, subject to standard exceptions and the liability cap above.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms will be resolved in the state or federal courts located in Travis County, Texas, and each party consents to personal jurisdiction and venue in those courts. The parties waive any right to a jury trial.
